Rules of Auction & Terms of Sale

Important: These terms apply to buyers and sellers using IMB Auctions in the United States. By registering, entering cattle or placing a bid, you agree to these terms. The buyer pays the seller directly, and the seller must pay IMB Auctions a separate 5% commission on the final sale price.

1. Registration and verification

Buyers must be at least 18 years old and provide accurate U.S. identity, phone, email and physical-address information. IMB Auctions may verify information, request supporting documents and refuse or suspend registration where verification is incomplete or a risk is identified.

2. Seller authority and cattle information

The seller confirms that they own the cattle or are lawfully authorized by the owner to sell them. The seller is responsible for the accuracy of all descriptions, identification, photographs, videos, health information, vaccination records, pregnancy status, breeding information and other details supplied.

3. Health and condition

The seller accepts full responsibility for the health and condition of entered cattle and must disclose every known illness, disease, injury, defect or other relevant condition. IMB Auctions is not responsible for sick cattle, undisclosed conditions or inaccurate information supplied by the seller. IMB Auctions may reject or remove any entry.

4. Permission to publish

The seller authorizes IMB Auctions to publish, reproduce and share the cattle details, photographs, videos and supplied documents for catalog, marketing, verification and auction purposes.

5. Reserve prices and passed-in lots

A confidential reserve may be agreed for a lot. If the reserve is not reached, the lot may be passed in. IMB Auctions may facilitate a later negotiation, but no private sale is final until the buyer and seller agree and the required documentation and payment arrangements are completed.

6. Bidding

Only verified members may bid. A bid is binding once submitted and accepted. Bidders are responsible for checking the lot, amount and bid before confirming. IMB Auctions controls bid increments and may reject, reopen or correct bidding where a clear error, dispute, fraud or platform failure affects a fair sale.

7. Timed-auction extension

A bid placed during the final two minutes extends that lot by two minutes. Extensions continue until no further qualifying bid is received during the extension period.

8. Sale and direct payment to the seller

Subject to any reserve, the sale is concluded when the auction closes and the highest accepted bid is confirmed. IMB Auctions will securely provide the buyer with the seller's payment details. The buyer must pay the full cattle purchase price directly into the seller's bank account in U.S. dollars by electronic funds transfer (ACH or wire) within 24 hours, unless the buyer and seller agree otherwise in writing. IMB Auctions does not receive, hold or transfer the cattle purchase money. Buyers should independently confirm payment instructions with the seller before transferring funds.

9. Seller commission and taxes

After receiving the buyer's cleared payment, the seller must pay IMB Auctions a separate commission equal to 5% of the final sale price. The commission must be transferred to the bank account specified by IMB Auctions within 24 hours after the seller receives cleared payment. Any sales, use or other tax required by applicable law remains the responsibility of the party on whom the law places that obligation.

10. Risk, collection and transport

The buyer is responsible for arranging and paying for collection, loading and transport. Risk in the cattle transfers to the buyer once the seller has received full cleared payment and releases the cattle for collection, unless the sale confirmation states otherwise. Ownership transfers in accordance with the completed sale documentation. The parties must cooperate to arrange prompt collection.

11. Failure to pay, pay commission or collect

If a buyer fails to pay or collect as agreed, IMB Auctions may cancel the sale, offer the cattle to another bidder, recover reasonable losses or costs, and suspend the buyer's account, subject to applicable law. The seller must not release cattle until the seller has confirmed full cleared payment. If a seller fails to pay the 5% commission when due, IMB Auctions may suspend the seller, recover the commission and reasonable collection costs, and refuse future entries, subject to applicable law.

12. Technical problems and disputes

IMB Auctions may pause, extend, reopen or reschedule affected bidding when a material technical failure compromises the auction. Suspected errors or disputes must be reported promptly. IMB Auctions will review the auction record and may take reasonable steps to preserve a fair result.

13. Privacy

Personal information is processed according to the IMB Auctions Privacy Notice.

14. Governing law

These terms are governed by applicable United States federal law and the laws of the State of Texas. Nothing in these terms removes rights that cannot lawfully be excluded.
